These Terms and Conditions ("Terms") govern your access to and use of our website, software solutions, hardware products, and services provided through Infomatics Cloud (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use our Services. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.
2. Description of Services
Infomatics AI Inc. provides fleet intelligence and management solutions, including but not limited to:
- Kopilot AI-powered fleet management software
- Vehicle telemetry and monitoring systems
- Telemetry Gateway hardware devices
- Driver behavior analysis and reporting
- Cloud-based data storage and analytics through Infomatics Cloud
3. User Accounts
To access certain features of our Services, you may be required to create an account. You are responsible for:
- Providing accurate and complete registration information
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or illegal activities.
4. Communications and Notifications
By using our Services, you consent to receive communications from Infomatics AI Inc. as follows:
4.1 Marketing Communications
You may opt in to receive marketing communications, promotional offers, newsletters, and updates about our products and services. All marketing communications will be sent exclusively via email. You may unsubscribe from marketing emails at any time by clicking the unsubscribe link in any email or by contacting us.
4.2 Service Notifications
When using software and hardware solutions provided by Infomatics Cloud, you acknowledge and agree that you may receive operational notifications, alerts, and service-related communications. Based on your configured preferences, these notifications may be delivered through:
- Email: System reports, account notifications, and service updates
- Text Messages (SMS): Time-sensitive alerts, security notifications, and urgent system messages
- WhatsApp: Real-time alerts and notifications for supported regions
- Mobile Applications: Push notifications through Infomatics mobile apps installed on your devices
You may customize your notification preferences through your account settings. However, certain critical notifications related to safety, security, or legal compliance cannot be disabled and will be delivered regardless of your preferences.
5. Software License
Subject to these Terms, Infomatics AI Inc. grants you a limited, non-exclusive, non-transferable, revocable license to access and use our software solutions for your internal business purposes. You may not:
- Copy, modify, or distribute our software
- Reverse engineer, decompile, or disassemble our software
- Sublicense, lease, or rent our software to third parties
- Use our software for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems or networks
6. Hardware Terms
For hardware products provided by Infomatics AI Inc., including Telemetry Gateway devices:
- Hardware must be installed and used according to our specifications and guidelines
- Tampering with or modifying hardware may void warranties and violate these Terms
- Hardware remains the property of Infomatics AI Inc. unless explicitly sold
- You are responsible for the physical security of hardware installed at your locations
7. Data Usage and Ownership
You retain ownership of your data uploaded to or generated through our Services. By using our Services, you grant Infomatics AI Inc. a license to process, store, and analyze your data to provide and improve our Services. We may use anonymized and aggregated data for research, analytics, and product development purposes.
8. Payment Terms
Fees for our Services are specified in your service agreement or order form. Unless otherwise stated:
- All fees are due in advance and non-refundable
- We may change our pricing with 30 days' notice
- Late payments may result in service suspension or termination
- You are responsible for all applicable taxes
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INFOMATICS AI INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OUR SERVICES.
Our total liability for any claims arising from these Terms or your use of our Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
11. Indemnification
You agree to indemnify, defend, and hold harmless Infomatics AI Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our Services, violation of these Terms, or infringement of any rights of a third party.
12. Termination
We may terminate or suspend your access to our Services at any time, with or without cause, and with or without notice. Upon termination:
- Your right to use our Services will immediately cease
- You must return or destroy any hardware provided by us
- We may delete your data after a reasonable period
- Provisions that should survive termination will remain in effect
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
